Terms of Service

1. Acceptance of Terms

By accessing or using OnLocum's platform, mobile applications, and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and OnLocum. We reserve the right to update these Terms at any time.

2. Description of Services

OnLocum provides the following services:

• Healthcare Staffing (Locum Tenens): Connecting healthcare facilities with credentialed professionals for emergency shift coverage
• Workforce Trust Infrastructure: Credential verification, reputation tiers, and shift-performance tracking
• FlowMed: A hospital management information system for facilities, provided under the separate FlowMed Subscription Agreement

OnLocum acts as a technology platform connecting healthcare professionals with healthcare facilities. We do not provide medical care directly.

3. User Accounts

3.1 Account Creation

To use certain Services, you must create an account and provide:

• Accurate and complete information
• Government-issued identification
• Professional certifications (for healthcare professionals)
• Payment information

3.2 Account Security

You are responsible for:

• Maintaining confidentiality of your account credentials
• All activities under your account
• Notifying us immediately of unauthorized access

3.3 Age Requirement

You must be at least 18 years old to use OnLocum. Healthcare professionals must meet licensing requirements in their jurisdiction.

4. User Conduct

You agree not to:

• Provide false or misleading information
• Impersonate any person or entity
• Violate any laws or regulations
• Harass, abuse, or harm other users
• Use the platform for fraudulent purposes
• Interfere with or disrupt the Services
• Reverse engineer or attempt to access source code
• Use automated systems (bots, scrapers) without permission

5. Healthcare Services Disclaimer

5.1 Professional Verification

OnLocum verifies professional credentials, but facilities are responsible for:

• Final credential verification
• Compliance with local licensing requirements
• Professional liability insurance
• Patient safety protocols

6. Payments and Fees

6.1 Payment Methods

We accept:

• Mobile money (M-Pesa)
• OnLocum wallet

6.2 Staffing Fees

Staffing fees for facilities on a FlowMed Contract are published on our pricing page. They may vary based on:

• Shift duration and role specialization
• Facility tier and trust configuration
• Urgency level and service type
• Market demand and worker availability

6.3 FlowMed Facilities

Facilities that subscribe to FlowMed are billed under the FlowMed Subscription Agreement and their order form, which set out FlowMed fees, invoicing and payment terms. Health workers pay a worker fee only on open-market shifts that OnLocum sources for a facility: 7% for Standard, 4% for Pro and 2% for Elite trust tier workers. Health workers pay no worker fee (0%) on shifts for a facility's own staff or float pool. These worker fees apply only to shifts posted after this change.

6.4 Refunds

Refunds are issued for cancelled bookings according to our Cancellation Policy (Section 7). Processing time: 5-10 business days.

7. Cancellation Policy

7.1 Facility Cancellations

• Free cancellation: 24+ hours before scheduled shift
• Late cancellation: Within 24 hours may incur a fee (up to 50% of shift value)
• Urgent shifts: Shifts posted with the Urgent toggle may carry stricter cancellation terms due to urgency and staffing impact

7.2 Worker Cancellations

Workers who cancel after acceptance may face:

• Account suspension
• Reduced priority in job matching
• Permanent deactivation (repeated violations)

8. Limitation of Liability

OnLocum's total liability shall not exceed the greater of:

• The amount you paid to OnLocum in the last 12 months, or
• KES 50,000 (Fifty Thousand Kenyan Shillings)

This limit applies to staffing and the other services covered by these Terms. For FlowMed, the limitation of liability in the FlowMed Subscription Agreement applies instead.

9. Indemnification

You agree to indemnify and hold OnLocum harmless from any claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your negligence or willful misconduct

10. Intellectual Property

All content, trademarks, logos, and intellectual property on OnLocum are owned by OnLocum or its licensors. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding
• Reverse engineer our software

11. Termination

11.1 By You

You may terminate your account at any time through app settings.

11.2 By OnLocum

We may suspend or terminate your account for:

• Violation of these Terms
• Fraudulent activity
• Safety violations
• Inactivity (90 days)

12. Dispute Resolution

12.1 Informal Resolution

Contact us at legal@onlocum.com to resolve disputes informally.

12.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in Nairobi, Kenya, under Kenyan Arbitration Act.

13. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.

14. Changes to Terms

We may update these Terms at any time. We will notify you of significant changes via email or in-app notification. Continued use constitutes acceptance.
